These Sponsorship Terms & Conditions (“Agreement”) govern the participation of businesses and individuals (“Sponsor”) in the Show Your Spark Gala (the “Event”), organized by Lindsay Hite Photography LLC DBA Show Your Spark (“Organizer”). By submitting payment and/or signing up as a sponsor, the Sponsor agrees to the following terms:

1. Sponsorship Benefits & Obligations

1.1 Sponsorship Levels & Benefits

– Sponsor will receive the benefits outlined in their selected sponsorship package. Benefits are contingent upon full payment and timely submission of required materials (e.g., logo, advertisements, etc.).

1.2 Marketing Materials

– Sponsor grants Organizer the right to use Sponsor’s name, logo, and branding in promotional materials for the Event.

1.3 Deadlines

– Sponsor agrees to submit logos, advertisements, or any other required content by the deadline specified by the Organizer upon signing up to sponsor. Late submissions may result in exclusion from certain marketing opportunities.

2. Payment & Refund Policy

2.1 Sponsorship Fee

– Sponsor agrees to pay the full sponsorship fee as outlined in their selected package. Payment must be made in full before benefits are activated.

2.2 Non-Refundable

– Sponsorship payments are non-refundable. If the Sponsor chooses to cancel their participation, no refund will be issued.

2.3 Event Cancellation – If the Event is canceled by the Organizer, Sponsor will have the option to apply their sponsorship to a rescheduled event or a future fundraising effort.

3. Sponsor Conduct & Compliance

3.1 Brand Alignment

– The Organizer reserves the right to decline sponsorships from businesses or individuals that do not align with the mission and values of the Event.

3.2 Ethical Standards

– Sponsor agrees to comply with ethical business practices and all applicable laws, including those related to advertising, branding, and consumer protection.

4. Liability & Indemnification

4.1 Liability Waiver

– Sponsor acknowledges that participation in the Event is at their own risk and agrees that the Organizer is not responsible for any loss, damage, or injury resulting from their participation.

4.2 Indemnification

– Sponsor agrees to indemnify and hold harmless the Organizer, its officers, directors, and affiliates from any claims, damages, or liabilities arising from Sponsor’s participation in the Event.

5. Miscellaneous

5.1 No Exclusivity

– Unless explicitly agreed upon, sponsorship does not grant exclusivity in any industry category.

5.2 Force Majeure

– The Organizer is not responsible for any delay or failure to fulfill obligations due to unforeseen circumstances beyond its control (e.g., natural disasters, pandemics, venue closures).
